Adelle — a pleasure to be introduced. We represent Monarch Commerce, Inc. in connection with its proposed acquisition of the Peau de Loup business from Noble Motives Holdings. Sam and the Monarch team speak highly of what you have built over fifteen years — the WNBA, PWHL and WNBPA relationships speak for themselves.

Attached is a draft Confidentiality & Non-Circumvention Agreement so the teams can exchange information freely. It is a short, even-handed form and should be uncontroversial. If you are able to sign this week, Monarch will follow with a letter of intent — we are targeting the LOI in your hands within the week.

On process: Monarch expects to bring in Canadian counsel for the British Columbia workstreams, and we will make that introduction once engaged. In the meantime, please direct legal correspondence to me; Sam (copied) remains your business point of contact.

Looking forward to working with you and Fiona on this one.

Pavan — lovely to meet you, and thank you for the kind words about the brand. We are genuinely excited about what this could mean for Peau de Loup and for women's sports more broadly.

The confidentiality agreement reads fine to me — I will have it signed back to you this week. One flag for when diligence starts: Noble Motives also operates Kaposhi, our retail stores in BC, which are not part of this conversation. Happy to walk your team through how the two sit inside the same entity.

Fiona and I are aligned on moving quickly. Send the LOI over whenever it is ready.
